AI Contract Review Service (AiLa) – Small and Medium Enterprises (SMEs)
- Purchase of Credits
- Clients purchase at least the minimum number of credits in advance to access the AiLa Contract Review Service (the “Service”).
- Credits will be deducted from the client’s credit balance for each contract submitted for review, with the number of credits required determined by the type of contract (see Fee Table below).
- Credits are exclusive to the originating client account and may only be used by the client who has purchased them. Credits cannot be resold, exchanged, or transferred to third parties.
- Credits will remain valid for twelve (12) months from date of purchase. Any unused credits after this period shall expire automatically unless the rollover provisions in clause 1.5 apply.
- Credit Rollover – If a client purchases additional credits before the expiry of its existing balance, any unused credits will roll over and remain valid for a further twelve (12) months from the date of the new purchase. Credits may only be rolled over once and cannot be extended indefinitely.
- Deliverables
- Following submission of a contract, the Service will provide a written RAG Report by email.
- The RAG Report categorises provisions within the contract according to the following traffic-light system:
- Red – Provisions that present significant risk, are heavily one-sided, unlawful, or otherwise materially adverse to the client’s interests.
- Amber – Provisions that are broadly acceptable but include elements that warrant caution, clarification, or negotiation.
- Green – Provisions that are considered fair, standard, or favourable to the client.
2.3 The RAG Report is designed to provide the client with an efficient overview of potential risks and negotiation points within the contract.
- Word Plugin Subscription
- Clients may enhance their use of the Service by subscribing to the AiLa Word Plugin.
- The Word Plugin provides additional functionality, including:
- Direct integration with Microsoft Word;
- Loading the RAG Report alongside the reviewed contract;
- Generating a redlined version of the contract highlighting key issues;
- Suggesting alternative drafting for clauses; and
- Providing targeted commentary to aid decision-making.
- The Word Plugin is licensed on a per-Authorised User basis under the terms of the End User Licence Agreement (“EULA”) – available here: AiLa Terms and Condition.
- The monthly subscription fee for the Word Plugin is payable in advance.
- Automatic Renewal – Word Plugin subscriptions shall automatically renew each month on the renewal date, with fees charged to the client’s designated payment method, unless the client provides at least seven (7) days’ written notice prior to renewal that it does not wish to continue utilisation of the Plugin.
- The client may cancel its Word Plugin subscription at any time, but cancellation shall only take effect from the next renewal date. No refunds will be given for part-used months.
- Refunds
- Save where expressly provided under the EULA for a material breach by 360 Business Law, the client shall not be entitled to a refund for unused credits.
- No refunds will be issued for partial use of the Word Plugin subscription within a billing period.

- Bulk Credit Discounts
- Clients purchasing credits in larger volumes shall be entitled to discounted rates as set out below:

- Discounts are applied at the point of purchase and cannot be retrospectively applied to previously acquired credits.
- Bulk credits remain subject to the same expiry and rollover provisions as individual credits.
- Worked Examples
Example 1 – NDA Reviews
A client purchases 10 credits (£165.00). This provides for the review of 10 NDAs (1 credit per NDA).
Example 2 – Mixed Contracts
A client purchases 50 credits at the discounted rate (£16 each, £800 total). The client may use these credits to review:
- 20 NDAs (20 credits);
- 10 Sales Contracts (50 credits).
This fully uses the 70-credit allocation.
Example 3 – Word Plugin Subscription
A client has 5 Authorised Users requiring access to the AiLa Word Plugin. The monthly fee shall be:
£15.00 × 5 = £75.00 per month, automatically renewed each month, in addition to credits purchased for contract reviews.
Example 4 – Credit Rollover
A client purchases 100 credits in January 2025. By December 2025, they have 20 unused credits remaining. If the client purchases an additional bundle before expiry, the 20 unused credits will roll over and remain valid until December 2026.
- General
- All fees and charges are inclusive of VAT.
- The client is responsible for ensuring that sufficient credits are maintained in its account to continue using the Service. Where the credit balance reaches zero, access to contract review will be suspended until further credits are purchased.
- Credits and subscriptions may be purchased via the 360 Law client portal or as otherwise directed by 360 Law.
