AI Contract Review Service (AiLa) – Small and Medium Enterprises (SMEs)
Registration and Account Setup
To access the AI Contract Review Service (AiLa), the client must first register for an account with 360 Business Law through the 360 Business Law AiLa app: Payment Terms
The user who registers for the service will be designated as an Authorised User – Administrator and will receive an email requesting verification of their email address. Upon verification, the Authorised User – Administrator will be able to log into the AiLa Service using their registered email and password. Single sign-on is also available.
Within the portal, the Authorised User – Administrator must complete their own profile and may add further Authorised Users by entering their full name and email address.
Purchasing Credits and Payment Terms
Authorised Users may purchase credits required for the review of contracts by following the instructions in the portal and entering credit or debit card details. These payment credentials may also be used by other Authorised Users to purchase credits, if required.
- Credits must be purchased in advance and will be deducted automatically from the client’s balance for each contract submitted.
- The number of credits required depends on the type of contract (e.g., 1 credit per NDA, 5 credits per Sales or Supplier Contract, including schedules).
- Credits are exclusive to the Authorised User Account, valid for 12 months, and benefit from rollover provisions subject to further credits being purchased before expiry.
- Credits and Word plugin subscriptions are purchased via the client portal.
- Full details are set out in the Payment Terms – available here: Payment Terms
Bulk Credit Discounts
Discounts are available for bulk purchases (10, 20, 50), with reduced per-credit pricing applied at the point of purchase. Bulk credits are subject to the same expiry and rollover provisions as individual credits.
Submitting Contracts for Review
Once credits have been purchased, they will be displayed in the client portal. Authorised Users may then upload:
- Non-Disclosure Agreements (NDAs)
- Sales Contracts (including schedules)
- Supplier Contracts (including schedules)
The Service will review the submitted contract and, upon completion, place:
- A copy of the reviewed contract in the download area of the portal.
- A RAG Report, which will also be emailed directly to the relevant Authorised User.
The RAG Report
The RAG Report provides an at-a-glance categorisation of contractual provisions using a traffic-light system:
- Red – Provisions that present significant risk, are heavily one-sided, unlawful, or materially adverse to the client’s interests.
- Amber – Provisions that are broadly acceptable but may require clarification, negotiation, or carry some risk.
- Green – Provisions that are fair, standard, or favourable to the client.
This report offers clients a clear and efficient overview of potential risks and negotiation points within each contract.
Word Plugin (Optional Add-On)
Clients may enhance their use of the AiLa Service by subscribing to the AiLa Word Plugin, licensed on a per-Authorised User basis under the terms and conditions set out in the End User Licence Agreement (EULA) – available here: AiLa Terms and Conditions
The Word Plugin provides additional functionality, including:
- Direct integration with Microsoft Word.
- Loading the RAG Report alongside the reviewed contract.
- Redlined versions of contracts, with key issues highlighted.
- Suggested alternative clauses.
- Targeted commentary to support decision-making.
The Word Plugin is subject to a monthly subscription fee, payable in advance, and automatically renewed unless cancelled at least seven (7) days before the renewal date. No refunds are available for part-used months. Full details are set out in the Payment Terms – available here: Payment Terms
Storage and Access
Copies of reviewed contracts and associated RAG Reports will remain available in the download area of the portal for future access by Authorised Users.
Refund Policy
- Refunds are not available for unused credits, except where expressly provided under the EULA in the event of a material breach by 360 Business Law.
- No refunds will be provided for partial use of Word Plugin subscriptions.
Worked Examples
Example 1 – NDA Reviews
A client purchases 10 credits (£165.00). This provides for the review of 10 NDAs (1 credit per NDA).
Example 2 – Mixed Contracts
A client purchases 50 credits at the discounted rate (£16 each, £800 total). The client may use these credits to review:
- 20 NDAs (20 credits), and
- 10 Sales Contracts (50 credits).
This fully uses the 70-credit allocation.
Example 3 – Word Plugin Subscription
A client has 5 Authorised Users requiring access to the AiLa Word Plugin. The monthly fee shall be:
- £15.00 × 5 = £75.00 per month,
automatically renewed each month, in addition to credits purchased for contract reviews.
Example 4 – Credit Rollover
A client purchases 100 credits in January 2025. By December 2025, they have 20 unused credits remaining. If the client purchases an additional bundle before expiry, the 20 unused credits will roll over and remain valid until December 2026.
