Subscribed Services and Support Description
1. Overview of the Subscribed Service
The “AI Contract Review Service” (the Service) is a Software-as-a-Service (SaaS) product delivered by 360 Business Law Limited. The Service is designed to provide small and medium-sized enterprise (SME) customers with access to an automated, browser-based platform for the review of business-to-business contracts. The Service may only be accessed via the most recent generally available versions of either Google Chrome or Microsoft Edge and requires an internet connection.
The Service utilises proprietary artificial intelligence to analyse certain predefined contract types, return an annotated Word document, and generate a corresponding “RAG Report” (Red, Amber, Green) to highlight contractual risks or deviations from standard playbook positions. The Service is accessed via a secure online platform with role-based access controls for each Client and their Authorised Users.
2. Territorial and Language Scope
The Subscribed Service shall be accessible only to Clients established in and accessing the Services from the following jurisdictions (the Permitted Jurisdictions):
- Australia
- Canada
- United Kingdom
- United States of America
Use of the Service from outside these jurisdictions is not supported and may result in performance or legal limitations.
The AI functionality is designed to process documents that are drafted entirely in the English language. Submission of documents in other languages is not supported and will result in either (a) rejection of the submission, or (b) failure to produce reliable or meaningful results. No representations or warranties are made in respect of the Service’s ability to interpret documents containing partial or full translations into other languages, dialects, or legal systems.
3. Supported Contract Types and Review Functionality
The Service is initially limited to the automated review of the following contract types (the Initial Supported Contract Types):
- Non-Disclosure Agreements (NDAs)
- Sales Contracts
- Purchase Agreements
Each contract type is reviewed against a predefined standard playbook developed by legal professionals. The AI is trained to detect and report deviations from such playbooks.
These deviations are presented in the RAG Report, along with a copy of the contract returned in Word format containing in-line comments and tracked suggestions where applicable.
The list of supported contract types is expected to be expanded periodically through software Updates or Upgrades, notice of which shall be given in accordance with clause 8 of the EULA.
4. Credits and Payment Model
Access to the Service is governed by a Credit-based usage model:
- Each Client is required to pre-purchase Credits through the platform.
- The number of Credits required to review a contract depends on the contract.
- Clients may purchase Credits individually or in volume.
- Discounts are automatically applied based on the size of the bulk purchase.
- Credits are non-transferable and expire 12 months after the date of purchase.
- Unused Credits are forfeited upon expiry without refund.
Invoices are generated within the Client account area immediately upon successful payment and are retained within the system for 12 months for download and audit purposes.
No refunds of Credits will be issued for documents submitted in languages other than English, or for documents that fall outside the scope of the then currently supported contract types.
5. Authorised Users and Account Administration
Each Client account includes the ability to add and manage Authorised Users, who may be categorised as follows:
- Standard Users – permitted to submit contracts for AI review, receive outputs by email, and access results through the platform. Contracts are reviewed using RAG Report Only.
- Plugin Users – in addition to the above, these users may download and install a Microsoft Word Plugin which integrates the returned AI-reviewed contract into their instance of Microsoft Word (version compatible with Windows 10 or later), allowing for real-time in-document editing based on the AI’s annotations. And provides alternate cluses, comments on clauses and additional explanations than those set out in a RAG Report.
Clients may add or remove Authorised Users online. Each Authorised User licence is assigned to a named individual and may not be shared or reassigned unless expressly permitted. Simultaneous use across multiple devices by a single Authorised User is not permitted.
6. Output Delivery Options
Following each AI review, Clients may select one of the following delivery options within the system:
- Standard Delivery
- The AI-reviewed contract and RAG Report are returned to the relevant Authorised User by email.
- A copy is also made available in the Client’s platform and retained for a period of 12 months.
- Escalated Legal Review
- The Client may elect to escalate the reviewed contract to a human lawyer for further legal advice.
- A quotation is prepared by a lawyer engaged through 360 Business Law and returned via the system interface and email.
- If accepted, payment must be made through the portal in advance.
- The legal review is conducted and returned via the platform within agreed timelines.
All additional legal review services are governed under separate terms and conditions as made available via hyperlink on the platform.
7. Document and Record Retention
The following records will be available through the Client’s online account interface for a period of 12 months:
- Submitted and reviewed contracts
- Corresponding RAG Reports
- Purchase invoices for Credits
- Accepted quotations and receipts for additional legal review services
Clients are encouraged to download and archive any materials prior to the expiry of this 12-month window. The Supplier shall not be obliged to retain Client Data or provide recovery services after this period, in accordance with clause 19 of the EULA.
8. Support Services
The following support services are provided as part of the Subscribed Service:
- Online Help Centre:
A self-service knowledge base accessible via the platform, covering:
- System requirements and installation guidance
- Using the Word Plugin
- Interpreting AI results and RAG Reports
- Managing Credits and Authorised Users
- Support Desk:
Clients may raise technical or usage issues via a support ticketing system available through the portal.
- Support is available during UK Business Hours, Monday to Friday (excluding public holidays).
- Response times are not guaranteed but the Supplier will use reasonable endeavours to respond promptly.
- System Maintenance:
- The Supplier shall apply Updates, Upgrades, patches, and security improvements without additional charge.
- Advance notice of scheduled maintenance will be provided wherever commercially practicable.
- Emergency or Force Majeure maintenance may be applied without notice.
Important Exclusions:
The support service does not include:
- Internet access or connectivity
- Device compatibility troubleshooting beyond published requirements
- Data recovery or off-platform backup
- Training unless separately agreed
