SCHEDULE 3 - GLOBAL RATES

Any capitalised terms used in this Schedule that are defined in the Agreement shall bear the meaning given to them in the Agreement. The following additional definitions apply for the purposes of this Schedule only:

1. Legal Services

1.1. Hourly Rates – 2025 – 2026

The following domestic and international Hourly Rates:

Rates quoted are for one (1) hour and are exclusive of VAT or other relevant tax.

Solely in respect of the United Kingdom, the above Hourly Rates do not include the provision of Advice in respect of any Reserved Legal Activities (Reserved legal activities – The Legal Services Board) which must be carried out through our SRA Regulated law firm 360 Law Services Limited. We will provide an estimate of costs in respect of such work if requested.

In respect of M&A activities, including due diligence will be undertaken on an Hourly Rate basis or as part of an agreed fixed price.

2. AI Contract Review – Pricebook

2.1. AI Contract Review Service Election This service is offered at the rates specified in this Schedule 3 – Global Rates are provided subject to the terms and conditions of the Agreement. The AI Contract Review Service allows the Client to upload Documents for automated analysis and review, either via LawLink or an Integration.

Fees and Discounts

The AI Contract Review Service is charged per document reviewed, with Fees varying depending on the type of document, such as NDAs, buy-side contracts, or sell-side contracts. Discounts apply when specified volume thresholds are met, as detailed in the relevant pricing schedules below.

Monthly Invoicing and Discounts

Fees for the AI Contract Review Service are invoiced monthly in arrears, based on the total number of documents reviewed during the billing period. Any applicable discount will be calculated and applied according to the volume achieved in that month.

SUBSCRIPTION FEES FOR AI CONTRACT REVIEW USING WORD PLUGIN

If you would like your internal legal team or other departments to review and amend contracts using our Word Plugin after utilising the AI Contract Review Service, they can subscribe on an annual basis. Access to the AI via the Word Plugin is available at a rate of £15.00 (excluding VAT) per month per user.

This fee includes the provision and installation of the Word Plugin, along with ongoing maintenance.

In addition, you will be charged per contract at the “Cost Per Contract” rate, as outlined in the tables below.

PROFESSIONAL SERVICES FEES

If the Client requires the Company to perform professional services, such as integrating the Client’s system with the Company’s LawLink application or developing bespoke Checklists, the Company will charge for its time at the following rates:

· £455.00 for up to four (4) hours or any part thereof.

· £910.00 for up to eight (8) hours or any part thereof.

MONITORING

The Company may monitor, collect, store and use any information in, about or relating to the AI Contract Review Service (including, without limitation, information on their performance and use) to monitor for or detect breaches of this Agreement or errors and for the maintenance, development and improvement of the Company’s services.

FEE INCREASE:

The Company reserves the right to increase the Subscription Fee if:

(a) The volume of your Subscription Services workload increases by more than ten percent (10%) in any quarter of the workload estimated by the Company and you at the time that the Company set the Subscription Fee.

(b) You acquire any company or other Entity which increases the workload.

(c) Annually on the anniversary of the Commencement Date.

The Company reserves the right to increase the Hourly Rate Fees and AI Contract Review Service Fees on thirty (30) days’ notice in writing.

INVOICING AND PAYMENT TERMS:

Subscription Service Fee:

Subscription Service Fees shall be invoiced by the Company quarterly in advance. The first such payment having cleared in the Company’s bank account prior to the Company undertaking any work.

Hourly Rate Fees:

Hourly Rate Fees shall be invoiced by the Company either:

(a) At the end of each month for the Fees billable in the preceding month; or

(b) At the end of a relevant project if the project lasts for less than thirty (30) days.

Retainer Fees:

In respect to Hourly Rate Services, we reserve our right to ask you to provide sums in advance to cover charges. If we do, any payment will be held on account of charges which we are likely to incur on your behalf. Save for any advance payments for expenses and disbursements which may be applied when the expenses or disbursements are incurred, the money will be retained until completion of the matter, although, at our discretion, some or all of it may be applied towards any bill which has remained unpaid for more than fourteen (14) days. If part or all of the money is used in this way or if for any reason it is reasonable to review the amount held by us, we may ask you to provide a further sum to cover future charges.

Unless otherwise agreed, we will render interim Invoices monthly. These Invoices will reflect the value of work which we have already undertaken for you.

Our Invoices for Retainers are due for payment promptly following submission. Invoices will contain a brief description of the work performed during each billable period but not a detailed narrative. If you require such a narrative or need any additional explanation, please let our Lawyer know.
